Terms of Service
The legal agreement governing your use of the PMOS platform and services.
1. Definitions & Interpretation
In these Terms of Service ("Terms"):
- "PMOS" refers to PMOS Pte. Ltd. (UEN: 202400001A), a company incorporated in Singapore
- "Platform" means the PMOS software-as-a-service (SaaS) platform accessible at pmos.asia and all subdomains, including web portals and mobile applications
- "User", "you", "your" refers to any individual or entity accessing or using the Platform
- "Services" means all features, tools, and functionalities provided through the Platform
- "Content" means any data, text, images, or other materials uploaded to or generated through the Platform
2. Acceptance of Terms
By accessing or using the PMOS Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation.
If you do not agree to these Terms, you must immediately cease using the Platform.
3. Account Registration & Security
- You must provide accurate, current, and complete registration information
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify PMOS of any unauthorised access to your account
- You must be at least 18 years of age to create an account
- One person or entity may not maintain more than one account without prior approval
- PMOS reserves the right to suspend accounts that violate these Terms
4. Subscription Plans & Payment
4.1 Plans
PMOS offers Starter (free), Professional, and Enterprise subscription plans. Features and pricing are detailed on our Pricing page. All prices are in Singapore Dollars (SGD) and exclusive of prevailing GST (currently 9%).
4.2 Billing
- Paid subscriptions are billed monthly or annually in advance
- Payment is due on the billing date and processed via Stripe or bank transfer
- Late payments may incur interest at 1.5% per month
- PMOS reserves the right to adjust pricing with 30 days' notice
4.3 Refunds
Annual subscriptions may be refunded (pro-rata) within 14 days of purchase if you are unsatisfied. Monthly subscriptions are non-refundable. Enterprise custom agreements may have separate refund terms.
5. Permitted Use & Restrictions
You agree to use the Platform only for lawful purposes related to pool management, maintenance operations, procurement, and compliance. You shall not:
- Reverse engineer, decompile, or disassemble any part of the Platform
- Attempt to gain unauthorised access to other accounts or systems
- Use the Platform to transmit malicious code, spam, or harmful content
- Resell, sublicense, or redistribute the Platform without written agreement
- Use automated scripts to scrape data or overwhelm the Platform
- Upload content that infringes intellectual property rights
- Misrepresent your identity or affiliation
6. Intellectual Property
All intellectual property rights in the Platform — including software, design, logos, trademarks, and documentation — belong to PMOS Pte. Ltd. or its licensors. Your subscription grants a limited, non-exclusive, non-transferable licence to use the Platform for the duration of your subscription.
7. PMOS Market Terms
The PMOS Market (market.pmos.asia) is an e-commerce marketplace connecting pool equipment buyers and suppliers.
- PMOS acts as a platform facilitator, not a seller. Contracts of sale are between buyers and suppliers
- PMOS Market transactions may use Tazapay escrow for payment security
- Product listings, prices, and availability are provided by suppliers and may change without notice
- PMOS is not liable for product defects, delivery delays, or disputes between buyers and suppliers beyond providing the dispute resolution mechanism
- Buyers are responsible for verifying product suitability for their specific requirements
8. Data Ownership & Portability
You retain ownership of all Content you upload to the Platform. PMOS does not claim ownership of your data. You grant PMOS a limited licence to process, store, and display your Content solely for the purpose of providing the Services.
Upon termination, you may request a complete export of your data in standard formats (CSV, JSON) within 30 days. After 30 days, your data will be securely deleted in accordance with our Privacy Policy.
9. Limitation of Liability
To the maximum extent permitted by Singapore law:
- PMOS provides the Platform on an "as is" and "as available" basis
- We do not warrant uninterrupted, error-free, or secure operation
- Our aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for losses arising from third-party services integrated with the Platform
10. Indemnification
You agree to indemnify and hold harmless PMOS, its directors, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
- You may terminate your account at any time through your account settings or by contacting support
- PMOS may suspend or terminate your account for violation of these Terms, with reasonable notice where practicable
- Upon termination, your licence to use the Platform immediately ceases
- Sections 6, 8, 9, 10, and 12 survive termination
12. Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore. Any dispute shall be resolved as follows:
- Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation within 30 days
- Mediation: If negotiation fails, parties agree to mediation administered by the Singapore Mediation Centre (SMC)
- Arbitration: If mediation fails, disputes shall be referred to the Singapore International Arbitration Centre (SIAC) under its Expedited Procedure rules. The seat of arbitration shall be Singapore
13. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and SLA, constitute the entire agreement between you and PMOS
- Severability: If any provision is found invalid, the remaining provisions continue in full force
- Waiver: Failure to enforce a provision does not waive the right to enforce it later
- Assignment: You may not assign your rights without our prior written consent. PMOS may assign its rights in connection with a merger or acquisition
- Force Majeure: PMOS is not liable for failures due to circumstances beyond reasonable control
- Notices: Legal notices should be sent to legal@pmos.asia or by registered post to our registered address
